Choose the next step before sending the notice

A missed payment, delayed delivery or disputed performance can raise different contractual issues. The relevant clause, evidence of breach, opportunity to remedy and method of service should be examined together before a termination notice is issued.

The current UAE Civil Transactions Law took effect on 1 June 2026. The applicable legal framework and timing of the contract require attention; an older template or quoted article may no longer provide the right starting point. Other countries and special regimes have their own rules.

How the firm can assist

The firm can review the legal position, prepare or respond to commercial correspondence and help frame a negotiated solution. Formal service or court steps are coordinated through the appropriate authorised channels.

  • Identify the alleged breach, contractual remedy and outstanding obligations.
  • Review notice periods, delivery requirements and any cure mechanism.
  • Prepare a clear notice, response or termination and settlement agreement.
Prepare for a useful conversation
  • Signed contract, amendments and relevant purchase orders.
  • Notices, delivery records, invoices and communications.
  • The desired outcome and any approaching response deadline.

An initial outline is enough. Detailed records can follow through a process agreed with the firm.

Questions clients often ask

Can I stop performing because the other party breached the contract?

That requires an assessment of the agreement and applicable law. An unjustified suspension can create a separate dispute, so obtain advice before changing performance.

Is an email sufficient notice?

It depends on the contract, the type of notice and applicable formalities. The recipient, address, delivery method and proof of receipt should all be checked.

A considered approach
  1. Define the mandate

Clarify your objectives, the jurisdictions involved and any immediate deadline.

  2. Review the legal position

Examine the relevant documents and identify the decisions requiring advice.

  3. Agree the next steps

Set out the work, professional responsibilities and practical sequence.
